Referral Program Details

Primerapay Referral Program

Primerapay has made available to certain eligible persons or organizations the Primerapay Web-based Wallet Referral Program (the “Program”). The Program’s purpose is to provide an incentive to eligible persons or organizations who contribute to the success of the Primerapay program. The Program offers an opportunity to earn referral incentive payouts based upon performance of the program for referred customers that actively use the services in the Web-based Wallet. To use the services, a customer must register on the Web-based Wallet.

How to Participate

Participants must complete the appropriate paperwork, request and be assigned a referral code by the Company. The request process takes less than 24 hours and can be made through any Company employee or salesperson. Issuance of the referral code does not guarantee a payout. The participant must provide the referral code to the prospective customer, additionally, the customer must enter the referral code in the web-based browser during initial registration to qualify as a referral for you.

Referral Incentive Payout and Taxation

The distribution of referral incentive payouts shall be made as soon as administratively possible within the month following the end of a quarter. Specific provisions regarding distribution are outlined under the Conditions for Receiving Payment section of the Program.

For employees of the Company, payroll taxes will be withheld from the award as required by law. Referral incentive payouts that employees receive are counted as income in the year in which they are paid. Therefore, the referral incentive payout for the current year’s quarter ending on December 31, will be paid in the following year and is part of the employee’s total income for the following year, not the current year.

Conditions for Receiving Payments

No referral incentive will be paid to any participant that does not have an active referral program. After the first year, participants must add at least 1,000 new referrals each year to maintain eligibility. However, the Company retains the authority to make exceptions to the foregoing policy in unusual or meritorious cases including, but not limited to, the death of a participant during the quarter.

Limitations and/or Adjustments

The Company reserves the right to review, amend, suspend, and/or terminate the Program, the incentive calculation formulas, and all other aspects of the Program at any time. Program changes will be based on a determination of the Company’s business needs, however, do not require prior notification or explanation to eligible participants.

No Participant, except Nonprofit Organizations, shall receive a referral incentive payout of more than $105,000 in any given quarter.

Participation in the Program shall not be construed as an employment contract or as a partnership.
